PC upgrade question

Alright /tech/,
I need a mobo/cpu/memory upgrade but I've only got ~$200 to spare.
Currently I have several sata/pata hdd's, pc 2100 DDR and a p4 2.8(socket 478) w/ mobo.

What do you suggest?

I've noticed there have been a few $99 AMD64X2 cpu with motherboard deals from Fry's.

Not worth it. Save up and buy your stuff next month.
