I am looking for a program that will go through a directory, find all the music files that are not mp3s and create a mp3 of it to replace it with while retaining the tag/filename info and keeping the folder structure.

Anyone know of such a program?

yeah, it's called lame.exe (command line version), some knowledge of cmd.exe scripting (i know by the smell of this comment and your inability to spell etc right that you're running windows), google, and your brain.
