also pretty sure win98 insists to be installed on C:\ partition so resizing partition won't work either

if you mean a clean install, and you can't boot from your cd-rom, do this:
- make a DOS boot disk from windows xp, or download a windows millennium boot disk and put it on a floppy
- boot off floppy
- select option with cd-rom support
- FORMAT C: /U [enter]
- [cd-rom drive]: [enter]
- setup [enter]

you'll probably have to reformat. there is no other way. xp will tolerate its own partition being resized, but not moved (it'll crash on startup with a hal.dll error). there may be a way to do it but it probably involves system file and partition table editing. again, to boot win98 + winxp, i'm pretty sure win98 needs to be on C:\, but winxp can be anywhere.
so you need to get a floppy-based format utility and reformat your hd into two partitions. Install win98 first on the first partition. Then install winxp on the second. Winxp's NTLDR bootloader will be installed automatically and you can dual boot from that point.
