i'm almost positive it does, but i wanted to make sure. Does a regular windows xp pro (without x64) work on an AMD 64 processor?

Yes it does. AMD64 uses the x86_64 architecture which is backwards compatible with x86.
I'm thinking of upgrading compy also. Thanks for the information.

Yes, it will work, but unless you need particular devices or have poor driver support in some of your hardware, you'll want to use the 64 bit edition so applications can run in 64 bit mode and benefit from it. If you plan on using, for example, virtual image software like Alcohol 120% or Daemon Tools, or packet capture software like Ethereal, check out their web sights and see if they'll be compatible. Regular software (games, applications, etc.) is always compatible.
